Hong Kong Company Incorporation Requirements
To form a company in Hong Kong, the requirements are:
minimum share capital of HKD1- minimum of one shareholder (can be
individual or company) - minimum of one director (can be the same individual as the shareholder)
- a Hong Kong resident company as the company secretary, who will act as the company’s liaison with the Hong Kong authorities
- a Hong
Kong registered office address for corresponding and receipt of government mail and notices - the shareholder and director can be of any nationality and not required to be
Hong Kong resident.
Hong Kong company incorporation process flow
Here is the step by step guide to incorporate a Hong Kong company
Step 1 – Providing Information
- Provide your intended company name (please provide a few alternative choices in case your desired name is unavailable)
- Choose your incorporation package
- Provide brief details of your intended business activity
- Provide the name and address of the shareholder and director
Step 2 – Review Process
- We will review the forms containing your incorporation details
- If there are any issues, we will clarify and discuss the matter with you
- If everything is in the clear, we will prepare a quotation for payment for our services and the incorporation fees
Step 3 – Processing of Documents
- Upon receipt of your payment, we will prepare the incorporation documents for your signature
- Form NNC1 – Incorporation Form
- Articles of Association
- These documents can be signed at our office if you’re physically in Hong Kong
- If you’re located overseas, we will email the documents to you for your signature
- You will be required to courier the original signed documents to our office in Hong Kong for us to submit to the Companies Registry
Step 4 – Submission to Companies Registry
- Upon receiving the original signed documents from you and submitting to the Hong Kong Companies Registry, your company will be incorporated within5 to 7 working days.
- If you have an urgency, the Company Registry also offer an Express Incorporation Service whereby your company can be incorporated within 1 working day, at an additional cost.
Step 5 – Opening a Company Bank Account
- Now you can start the process to open a company bank account by opening a Hong Kong business bank account or with an offshore bank
Document Required to Set Up a Hong Kong company
These are the following documents to be provided to set up a Hong Kong company
- Completed forms with the necessary information for the company formation
- A copy of each shareholder’s and each director’s passport
- A copy of the utility bill or bank statement dated within the last 60 days showing each shareholder’s and each director’s current residential address.
Depending on the intended business activity, more documents may be required.
